What is CEO Duality?
CEO duality refers to the practice of combining the roles of Chief Executive Officer (CEO) and board chairman in a single individual. Proponents argue this structure provides unified leadership, faster decision-making, and clear accountability. Critics contend it undermines board independence, creates a conflict of interest because the CEO effectively oversees their own performance evaluation, and reduces the board's ability to objectively discipline or replace management. Institutional investors and proxy advisors such as ISS generally recommend separating these roles. Many companies have adopted lead independent director positions as a governance compromise when duality is maintained.
Example
JPMorgan Chase CEO Jamie Dimon has held the combined CEO-chairman role since 2006. Institutional shareholders have repeatedly submitted shareholder proposals to separate the roles. In 2024, these proposals failed to achieve majority support, but they reflect ongoing investor concern about CEO duality at the bank.
